Assistant Company Secretary
Responsibilities :
Ensure compliance with all applicable statutory laws and regulations and attend to statutory filings with regulatory bodies in Hong Kong, the Chinese Mainland and overseas
Implement process to promote, sustain and uphold good corporate governance
Maintain all secretarial and statutory record, companies’ information database and filing system in accordance with the company and legislative requirements
Prepare agenda, minutes and resolutions of the board / shareholders’ meeting
Handle the formation, winding up and restructuring of companies to meet business needs
Provide secretarial support to business units in terms of corporate documents, meeting KYC requirements and liaising with external parties, governmental departments and financial institutions
Supervise and review quality and quantity of the work of subordinates
Handle ad-hoc assignments as required
Requirements :
Bachelor’s degree holder in corporate governance, or related disciplines
At least 5 years of company secretary experience in sizable listed companies or professional services firms
Associate member of the Hong Kong Chartered Governance Institute
Solid knowledge of Companies Ordinance and other applicable laws and rules
Good analytical and problem-solving skills
Proficient in Microsoft Office Suite and Word Processing applications
Excellent communication skills in both written and spoken English and Chinese. Fluent Putonghua is preferred
