Credit Suisse’s Asia Pacific Markets ( APAC Markets ) legal team is seeking a full-time lawyer based in Hong Kong to provide legal support to various APAC Markets business-units with a primary focus on corporate equities derivatives, FX and rates derivatives.

Key aspects of the role include :

  • Advising on the legal aspects of corporate equity derivative transactions, securities financing transactions, hedging transactions, FX and rates transactions including :
  • derivative based financings over listed equities;
  • OTC derivatives structures from vanilla trades on liquid equities to heavily structured and customized trades on less liquid asset classes;
  • acquisitions, disposals and hedging by APAC corporates, high net worth individuals and institutional and private bank clients; and
  • FX and rates hedging for loans, bonds and deal contingent transactions
  • Working in close partnership with the APAC Markets business-units, internal and external lawyers, and other internal functions (such as compliance, risk, treasury, disclosure team) in assessing and mitigating legal, regulatory and documentation risks related to these businesses and working to develop efficient legal structures for specific transactions
  • Development and management of relationships with external legal counsel in multiple jurisdictions
  • Advising on regulatory developments and providing general legal advice and assistance to the APAC Markets business-units
  • Drafting, reviewing and negotiating documentation for a range of equity derivative products
  • Assisting in the development of template documents, such as term sheets and confirmations
  • Ensuring CS' policies and guidelines are aligned and developing new polices and guidelines where appropriate; and
  • Providing training to the front office, other partner and other team members within General Counsel on legal, regulatory and documentation issues

    The team is a key partner of the APAC Markets business, advising on legal and regulatory issues applicable to overall business strategy, in addition to detailing new products and transaction execution.

    Working closely with structurers, traders and sales teams at all stages of the transaction life cycle, the role will enable the successful candidate to develop a high level of specialist legal expertise in corporate equities derivatives.

    As the business operates on a global basis, the role will involve direct responsibility for transactions in APAC and regular exposure with colleagues in EMEA and US.

    Your skills and experience

    This is a technically challenging and highly rewarding role which offers the opportunity to work on high quality tailored equity derivatives and financing transactions from a technical and commercial perspective.

    Knowledge / Experience :

    Transaction experience / product knowledge in derivatives (preferably equities)

    ISDA documentation experience at transactional level (collars, forwards, total return swaps, call spreads)

    ISDA documentation general experience at Master Agreement level

    Broad knowledge of financial services legal and regulatory issues

    Qualifications :

    Common law qualified lawyer

    5-6 PQE in banking and / or derivatives

    Post-qualification experience of structuring transactions and drafting documentation for derivatives and / or structured finance transactions gained at an international law firm and / or leading financial institution

    Skills :

    Outstanding technical skills, including drafting skills, and analytical ability and familiarity with ISDA documentation

    Strong communication skills (both written and oral), to perform a role with a high degree of front office contact and negotiate documentation with clients

    Good business judgement and commercial competence

    Outstanding time management and prioritisation skills

    Ability to work as part of a team, as the role requires collaboration with different partners and functions across several jurisdictions within CS

    Proficiencies :

    The ability to work in an organised and disciplined manner, a creative and strategic problem solver with the ability to influence, build positive relationships with clients, front office and team members, deal constructively with conflicts, take decisions independently in situations requiring quick analysis and adapt to fast-paced environment involving multiple and simultaneous issues and transactions

    Ability to respond to challenging workplace demands and remain resilient and have good judgement under pressure

    Ambitious, dedicated, hardworking and can work independently whilst also working collaboratively and deliver on time with a high level of integrity, attention to detail and quality standards

    Have a curiosity about financial markets and products enabling them to partner effectively with structurers, traders, client relationship managers and internal control functions

    The ability to take ownership to manage CS' legal risk as a trusted legal advisor
