The role is a regional AVP / VP legal position within the GC APAC Credit & Investment Solutions legal team which currently consists of three lawyers.
The team provides legal support for the APAC division in the following areas : structured credit (CDS / TRS / CLNs), cash and synthetic ABS / CLO / SPV issuances / securitizations, structured products and funds, proprietary strategy / index development, index-
linked products, OTC derivatives (all classes), asset finance / asset liability hedging, portfolio finance and exotics. The successful lawyer’s responsibilities will include :
Advise the APAC Structured Credit, Asset Finance and Investment Solutions Group businesses on all legal matters, which includes (I) reviewing and drafting term-
sheets for structured notes, OTC derivatives (CDS, bond options, etc.), (II) preparing long-forms confirmations and pricing supplements, (III) managing structured transactions, (IV) reviewing bespoke index license / allocation agreements and (V) general transaction documentation
Engage with front office personnel on the conception, development and execution of all products
Instruct and manage external counsel (including review and settlement of legal documentation and opinions, etc.)
Provide general legal advice and transaction management support to the various desks
Advise on internal policies and training in collaboration with other relevant stakeholders
Act as legal adviser on certain internal regional committees and actively participate in working groups for matters relevant to the APAC division
Advise on industry trading / collateral documentation and regulatory reforms including participation in relevant industry groups (i.e., ISDA DC, etc.)
Have regard to suitability, reputational risk, cross-border, regulatory requirements, risk disclosure, etc.
England and Wales (or similar common law jurisdiction) qualified lawyer (with Hong Kong and / or Singapore qualification desirable but not essential) with a minimum of 4-
8 years of relevant experience
Strong interest in financial markets / services essential
Experience in dealing with industry-standard OTC documentation (i.e., ISDA, GMRA, etc.,) and related collateral, clearing and netting arrangements
Experience in relation to (I) fixed income / structured credit products, in particular CDS and other credit derivative products and (II) off-
balance sheet transactions such as repacks is essential.
Relevant top-tier in-house or private practice experience
Financial regulatory experience in APAC desirable but not essential
Fluent in English (fluency or proficiency in Asian languages desirable but not required
The role requires a proactive, motivated individual with strong professional skills (able to effectively identify relevant issues and resolve them in a timely manner -
also demonstrating strong principled behavior)
The ability to work effectively in an organized, autonomous and disciplined manner
The ability to work closely and in strong partnership with the business and relevant stakeholders and develop a thorough understanding of Structured Credit, Asset Finance and Investment Solutions Group’s business capabilities and requirements in the APAC division (becoming a trusted advisor for the business and other relevant stakeholders)
The ability to be a strong team player (work and communicate effectively with relevant stakeholders / colleagues in a collaborative, transparent manner), resilient under pressure, and able to master new material quickly
The ability to demonstrate strong people leadership skills in providing support to the business in APAC and in working effectively with colleagues and other relevant stakeholders.
