The Attorney / Assistant General Counsel is part of the Asia Pacific Legal Department. The role will involve providing legal analysis and advice to the Global Markets Equities business (and various support functions) in Asia Pacific.
The role is located in Hong Kong.
Provide legal support to the Global Markets Equities business in all markets in Asia Pacific, with primary focus on equities execution services, electronic trading, exchange traded funds, structured products and investable indices.
The role may also involve providing legal support to other product lines covered by the APAC Equities legal team.
Advise the Equities business on legal and regulatory matters, including issues relating to electronic trading, direct market access, best execution, short selling, commission sharing, licensing, securities laws and product distribution.
Prepare and negotiate legal documentation, including brokerage agreements, terms of business, commission sharing agreements, ETF participating dealer agreements, DMA agreements, synthetic DMA terms, co-location terms, distribution agreements, index license agreements, investable index rulebooks, non-disclosure agreements, investor representation letters and other product / programme documents for issuance of structured securities.
Advise on the impact and assist with the implementation of regulatory reform affecting the Equities business in Asia, including working with legal teams in Asia and other regions on global reg reform projects, participating in trade association working groups on responses to regulatory consultations, and assisting the Reg Reform COO team on implementation and remediation.
Provide legal input on new products, structures and platform development.
Liaise with external counsel in various jurisdictions to obtain quality advice on product-related and regulatory compliance matters.
Admission in practice in law.
5 or more years of work experience in private practice in the financial services sector, and / or work experience in in-house legal department supporting Global Markets business.
Experience in cash equities, investable indices and / or structured products.
Solid understanding of Global Markets Equities business practice and industry custom.
Business level fluency in oral and written English to communicate effectively with stakeholders at all levels within the organization.
Chinese language capability is an advantage.
Strong interpersonal and social skills with team-work oriented mindset.
Ability to think flexibly and proactively suggest solutions to achieve the business goals.
Excellent research and legal writing skills.
Willingness to work as a member of a local, regional and global team and strong curiosity to changing financial practice and environment.
