timeShift : Day JobEmployee Status : RegularTravel Time : NoJob ID : 19029468DescriptionThe Hong Kong Corporate Secretariat provides corporate governance support to all entities used by Citi Hong Kong’s businesses ( HK Entities ) including, but without limitation to, administration of board and committee meetings, organizing approval for grant of authorisations to act on behalf of the HK Entities by way of powers of attorney and / or authorized signatories lists, regulatory filing for corporate changes and maintenance and updating of corporate data and files of the HK Entities.
Job Purpose : Providing support to the company secretaries in the performance of corporate secretarial duties and statutory compliance for Citi subsidiaries such as preparation of standard AGM resolutions & certifications, handling statutory and regulatory notifications and maintenance of corporate records.
Responsibilities : Primary tasks to be performed include but without limitation, the following : Liaising with various business units and support functions to collate information decks for Board and committee meetings for distribution to members of relevant Board and committee(s).
Drafting of standard resolutions e.g. AGM docs for approval of audited financials, re-election of directors & auditors etc.
and arrange circulation and execution in satisfaction of company law requirements.Preparation of forms, returns and notifications relating to legal entities handled by the HK Corporate Secretariat and arrange signing and filing / submission in satisfaction of local statutory and regulatory requirements.
Preparation of documents for certification (by secretary), notarisation & legalization and liaison with notary public / attesting officer to satisfy business / regulatory filing needs.
Maintaining corporate registers of all HK legal entities as required under the HK Companies Ordinance to be maintained in the registered office in HK.
Acting as first contact points between the HK Corporate Secretariat and the Mumbai CSC to answer queries of the CSC and requestors from business / other functions.
Maintaining audit trail and supporting docs in assist of the performance of ongoing monitoring and oversight on performance of the Mumbai CSC as required under the relevant outsourcing approval granted by the HK Third Party Risk Steering Committee.
Maintaining reporting templates and generate urgent legal entity reports from CLEMS including specifically the report for submission to the HK Deposit Protection Board within a few hours upon notification / triggering event.
QualificationsExcellent experience in handling corporate administration matters, organizing statutory and regulatory filings and maintaining corporate books in an in-
house corporate secretarial department of global banking / financial institutions.Good written and spoken English, strong organization skills.
Able to communicate at all levels.Excellent organization skills.Able to work under tight deadlines.A good team player who is able to deal with colleagues at all levels.
Experience in using legal entity database and record retention system e.g. SharePoint would be an advantageQualification : Post SecondaryEducation in business administration or commercial studies would be advantage
