  • Degree / Diploma holder in Law, Company Secretarial or Corporate Governance;
  • 2 - 5 years relevant legal and company secretarial experience;
  • Knowledge of Companies Ordinance and other relevant regulations;
  • Practical experience in dealing with PRC company secretarial matters is preferable;
  • Proficient in MS Office applications and Chinese word processing;
  • Good command of written and spoken English and Chinese with conversational Putonghua;
  • Positive attitude with good interpersonal and communication skills; and

    Meticulous, well-organised, self-motivated and with a strong sense of responsibility.

    Responsibilities :

  • Draft and review M&A contracts, NDAs and other legal documents;
  • Work together with Company Secretary in terms of company secretarial, compliance and disclosure issues;
  • Liaise with external parties on legal and company secretarial documents;
  • Handling full range of company secretarial matters for the group of companies, including preparation of minutes and resolutions of board / general meetings, preparation and filing of statutory documents for companies incorporated in various jurisdictions; and

  • Assisting in preparation of and proofreading annual / interim reports, announcements and circulars and organising board meetings, board committee meetings and general meetings;
