The Secretarial Services Department is responsible for providing company secretarial services for the HKEX group of companies, ensuring that HKEX is operating at the highest level of corporate governance and is in compliance with the relevant statutory and regulatory requirements, e.
g., the Securities and Futures Ordinance (Cap. 571), the Companies Ordinance (Cap. 622) and the Listing Rules, applicable to HKEX and its HK-incorporated subsidiaries in relation to company regulation.
Job Responsibilities :
Provide company secretarial services to HKEX Group companies in Hong Kong to ensure compliance with all relevant statutory and regulatory requirements
Attend Board committee meetings, co-ordinate with members of Board committees and management, and prepare meeting agendas and minutes
Prepare corporate filings and communications
Supervise and manage team members
Ensure accuracy and effectiveness of all secretarial record / database / filing system
Undertake ad hoc assignments as assigned
Qualified lawyer / accountant / company secretary with a minimum of 12 years working experience, or university graduates of other relevant disciplines with at least 12 years working experience in law, accounting, corporate finance, investment banking or a related field will also be considered
Excellent English and Chinese writing skill is essential. Putonghua fluency is an advantage
Good knowledge of the Listing Rules and the relevant statutory and regulatory requirements
Experience in handling company secretarial work of listed companies is an advantage
Good analytical, problem-solving and communication skills, with a strong sense of responsibility
Able to work independently and meticulous to details
